LICENSE AGREEMENT – LIVE MATCH – MATCHMAKING

  1. INTRODUCTION
    This License Agreement (“Agreement”) governs your use of the LIVE Match – Matchmaking application (“App”), created by @JrFTW and owned by Infinitum Imagery LLC d/b/a Infinitum_US, Infinitum LIVE Creator Network, and Infinitum Agency (collectively, “Infinitum,” “we,” “us,” or “our”). By installing, accessing, or using this App, you (“User”) acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
  2. ACCEPTANCE OF TERMS
  • By downloading, installing, or using the App in any manner, you agree to all of the terms set forth in this Agreement.
  • If you do not agree, do not install or use the App.
  1. LICENSE GRANT
  • Infinitum grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal and non-commercial purposes, unless otherwise expressly authorized by Infinitum.
  • No other right, title, or interest is granted or implied.
  1. RESTRICTIONS
  • No Copy or Reuse: You may not copy, modify, alter, reproduce, distribute, create derivative works of, or publicly display the App or any portion thereof without express written permission from Infinitum. Any unauthorized recreation or reuse is strictly prohibited and constitutes a violation of copyright law.
  • No Reverse Engineering: You may not reverse engineer, decompile, or disassemble any part of the App, nor attempt to derive its source code, algorithms, or data structures.
  • Prohibited Conduct: You shall not use the App for any unlawful or prohibited activity, including infringing on Infinitum’s intellectual property rights or those of any third party.
  • Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations regarding your use of the App.
  1. INTELLECTUAL PROPERTY RIGHTS
  • The App and all associated content, features, designs, trademarks, logos, text, graphics, images, software, and other materials are the exclusive property of Infinitum and are protected by copyright, trademark, and other intellectual property laws.
  • All rights not expressly granted in this Agreement are reserved by Infinitum.
  1. USER CONTENT AND CONDUCT
  • User Responsibility: You are solely responsible for any content you post, transmit, or share through the App and for your interactions with other users.
  • Prohibited Content: You agree not to transmit or share material that is false, misleading, hateful, abusive, obscene, or otherwise objectionable.
  • Enforcement: Infinitum may, at its sole discretion, remove any content or terminate any account that violates this Agreement or is otherwise objectionable.
  1. PRIVACY
  • Infinitum respects your privacy. By using the App, you agree to the collection, use, and disclosure of any information you provide in accordance with our Privacy Policy.
  • You acknowledge that the Privacy Policy is incorporated into and forms part of this Agreement.
  1. TERM AND TERMINATION
  • This Agreement remains in effect until terminated by either you or Infinitum.
  • Infinitum may terminate this Agreement or suspend access to the App at any time, with or without prior notice or liability, for any reason.
  • Upon termination, your right to use the App ceases immediately. You must delete or remove any copies of the App in your possession.
  1. DISCLAIMER OF WARRANTIES
  • The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranty of any kind, whether express or implied.
  • Infinitum does not warrant that the App will be uninterrupted, error-free, or secure.
  • Infinitum disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, or any other warranty arising out of course of dealing or usage of trade.
  1. LIMITATION OF LIABILITY
  • To the maximum extent permitted by applicable law, Infinitum shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or your use of the App.
  • Infinitum’s total liability to you for any claim arising out of or relating to this Agreement or the App shall not exceed the amount paid by you (if any) for the App in the twelve (12) months preceding the event giving rise to the liability.
  1. INDEMNIFICATION
    You agree to defend, indemnify, and hold Infinitum harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of this Agreement, your use or misuse of the App, or your violation of applicable laws.
  2. GOVERNING LAW AND JURISDICTION
  • This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which Infinitum is registered, without regard to conflict of law principles.
  • You agree that any dispute arising from or relating to this Agreement shall be resolved exclusively in the courts located within such jurisdiction.
  1. CHANGES TO THIS AGREEMENT
  • Infinitum may modify or update this Agreement at any time.
  • Any changes will be effective immediately upon posting the revised Agreement, and your continued use of the App signifies your acceptance of the updated terms.
  1. SEVERABILITY
    If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision will be deemed severed from the Agreement and shall not affect the validity, legality, or enforceability of the remaining provisions.
  2. ENTIRE AGREEMENT
    This Agreement, together with any referenced policies, constitutes the entire agreement between you and Infinitum regarding your use of the App and supersedes all prior or contemporaneous written or oral agreements.

BY INSTALLING OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS. ANY REPRODUCTION, REDISTRIBUTION, OR UNAUTHORIZED USE OF THE APP OR ANY PART THEREOF IS STRICTLY PROHIBITED AND VIOLATES APPLICABLE LAWS.
